Stuart Oran is a senior managing director with FTI Palladium Partners and is based in New York. Mr. Oran has more than 30 years of hands-on mergers and acquisitions (M&A), corporate finance, restructuring and operating experience. He has been a creative problem solver and “change agent” in companies ranging from private startups to complex multinational public entities, some involving substantial interaction with large organized labor groups. He has worked extensively with governmental entities at the local, state and federal level to both solve problems and utilize governmental regulation to create, rather than diminish, substantial enterprise value. He has experience in a wide range of consumer products, consumer service, financial services, manufacturing and distribution companies.

Prior to joining FTI, Mr. Oran was the managing member of Roxbury Capital Group LLC, working with financial sponsors on acquisition and restructuring transactions and oversight of portfolio companies in the manufacturing, distribution, travel and hospitality, restaurant, retail, financial services and airline industries. Recent projects include strategic repositioning of the Wendy’s quick service restaurant business and the disposition of its non-core businesses; identification and implementation of cost-cutting measures at Spirit Airlines, now one of the lowest cost carriers in the U.S.; evaluation of a number of aerospace materials, parts, and component manufacturing businesses; evaluation of the business prospects of and financing alternatives for Portola Packaging in connection with a potential pre-packaged Chapter 11 filing; and financial advisor to the official committee of unsecured creditors of ATA Airlines.

Mr. Oran has extensive domestic and international operating experience at a senior management level. Prior to forming Roxbury Capital, he held a number of senior executive positions at UAL/United Airlines, which he joined to help effect a strategic and cultural transformation as it became the world’s largest employee-owned company. He served on the Management committee; had P&L responsibility for United’s $6 billion International division with 12,000 employees and operations in 27 countries; was chief executive officer of its business aviation line of business; and had global responsibility for its governmental, legal and regulatory affairs. Previously, Mr. Oran was a partner at the law firm of Paul, Weiss, Rifkind, Wharton & Garrison, where he focused on M&A, corporate finance and restructuring transactions.

Mr. Oran holds a J.D. from the University of Chicago Law School and a B.S. from Cornell University. He is a member of the Turnaround Management Association and Association of Insolvency and Restructuring Advisors. He has served on the board of directors of Wendy’s International, Hughes Telematics, Spirit Airlines, Deerfield Capital Corp., Portola Packaging and United Air Lines, Inc., the airline operating subsidiary of UAL Corporation. Mr. Oran was also a member of the U.S.-Hong Kong Business Council chaired by Paul Volcker and the U.S.-Japan Economic Task Force of the Council of Foreign Relations chaired by Laura D’Andrea Tyson. He has been chairman of the Chicago Urban League and a trustee of the Shedd Aquarium and the Latin School of Chicago.
